1. ACCEPTANCE OF TERMS
By accessing or using the website www.bluediamondinnovation.com or engaging Blue Diamond Innovation for any service, you agree to be bound by these Terms and Conditions. If you do not agree, please discontinue use of our site and services immediately.
2. ABOUT US
Blue Diamond Innovation is a digital agency incorporated in Mexico, with offices at Homero 229 Int 501, Colonia Polanco, Ciudad de México. We provide digital strategy services including eCommerce management, marketplace integration, web development, chatbot development, digital marketing, and social media management.
3. SERVICES
3.1 All services are subject to a separate written agreement, proposal, or statement of work signed by both parties, which will govern scope, deliverables, timelines, and fees.
3.2 Blue Diamond Innovation reserves the right to modify, suspend, or discontinue any service offering at any time with reasonable notice to active clients.
3.3 The client is responsible for providing accurate, complete, and timely information, access credentials, and materials required for service delivery. Delays caused by the client’s failure to do so do not constitute a breach by Blue Diamond Innovation.
4. INTELLECTUAL PROPERTY
4.1 All content on this website — including text, graphics, logos, icons, images, and software — is the property of Blue Diamond Innovation or its content suppliers and is protected under applicable intellectual property laws.
4.2 Upon full payment of all fees, the client receives a license to use the final deliverables as agreed in the applicable service agreement. Unless expressly stated otherwise in writing, Blue Diamond Innovation retains ownership of all underlying methodologies, frameworks, tools, and pre-existing intellectual property used in delivering services.
4.3 The client grants Blue Diamond Innovation a non-exclusive license to use their brand assets, content, and platform credentials solely for the purpose of delivering contracted services.
5. CONFIDENTIALITY
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the business relationship, and not to disclose it to third parties without prior written consent, except as required by law.
6. FEES AND PAYMENT
6.1 Fees for services are established in the corresponding proposal or contract. Blue Diamond Innovation reserves the right to adjust rates with 30 days’ prior written notice for ongoing engagements.
6.2 Invoices are due within the period specified in the service agreement. Late payments may incur interest charges and suspension of services.
6.3 All fees are quoted in Mexican Pesos (MXN) or US Dollars (USD) as specified, and are exclusive of applicable taxes including VAT (IVA).
7. LIMITATION OF LIABILITY
7.1 Blue Diamond Innovation shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services, including but not limited to loss of revenue, loss of data, or business interruption.
7.2 Our total cumulative liability to any client for any claim shall not exceed the total fees paid by that client in the three (3) months preceding the event giving rise to the claim.
7.3 Blue Diamond Innovation does not guarantee specific results such as sales volume, search engine rankings, conversion rates, or marketplace performance, as these depend on factors outside our control.
8. THIRD-PARTY PLATFORMS
Our services frequently involve integration with third-party platforms including Amazon, Mercado Libre, Liverpool, Coppel, Elektra, Claro Shop, Shopify, and others. Blue Diamond Innovation is not responsible for changes, outages, policy modifications, or account suspensions imposed by those platforms. The client is solely responsible for compliance with each platform’s own terms of service.
9. WEBSITE USE
9.1 You agree not to use this website for any unlawful purpose or in any way that could damage, disable, or impair the site or interfere with any other party’s use of it.
9.2 We make reasonable efforts to keep the website accurate and up to date, but we make no warranties regarding the completeness, accuracy, or availability of the content.
10. GOVERNING LAW AND JURISDICTION
These Terms and Conditions are governed by the laws of the United Mexican States. Any disputes arising hereunder shall be submitted to the jurisdiction of the competent courts of Ciudad de México, with both parties waiving any other jurisdiction that may apply by reason of their present or future domiciles.
11. MODIFICATIONS
Blue Diamond Innovation reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with a revised date. Continued use of our website or services after any changes constitutes acceptance of the updated terms.
